TERMS & CONDITIONS — B2B WHOLESALE

These Terms & Conditions ("Terms") govern the registration, use of the website, purchase of products and business relationship between Link’a Multi Shop Sàrl ("Link’a", "we", "us") and professional customers ("Customer", "you") using our B2B wholesale website.

By registering for a B2B account or placing an order through our B2B website, the Customer confirms that they have read and accepted these Terms.

1. B2B / PROFESSIONAL CUSTOMERS ONLY

The Link’a B2B website is intended exclusively for business customers and professional purchasers.

Examples of eligible customers include:

  • Restaurants and cafés

  • Grocery and convenience stores

  • Asian and African food shops

  • Hotels and catering businesses

  • Food-service businesses

  • Kiosks and other retail businesses

  • Resellers and distributors

  • Other legally established businesses and professional organisations

The website is not intended for private consumer purchases.

By registering, the Customer confirms that the information supplied during registration is accurate and that the products are being purchased for professional/business purposes.

Link’a reserves the right to request evidence of professional activity, including company registration information, UID/VAT number, business address or other appropriate documentation.

2. B2B ACCOUNT REGISTRATION

To access certain wholesale products, prices, offers and purchasing functions, the Customer may be required to create a B2B account.

The Customer must provide accurate and complete information, which may include:

  • Company name

  • First and last name of contact person

  • Business address

  • Billing address

  • Delivery address

  • Telephone number

  • Email address

  • Swiss UID/VAT number, where applicable

  • Business activity

  • Other information reasonably required to verify the professional account

The Customer is responsible for keeping their account information accurate and up to date.

Link’a may review and approve B2B registrations before granting access to wholesale prices or ordering functions.

Link’a may refuse, suspend or terminate an account where information is inaccurate, misleading, fraudulent or where the account is not being used for legitimate professional purposes.

3. ACCOUNT SECURITY

The Customer is responsible for keeping their login credentials confidential.

Orders placed through the Customer's account may be considered to have been placed by the Customer unless the Customer promptly informs Link’a of unauthorised access.

The Customer must notify Link’a immediately if they believe their account has been compromised.

4. PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, specifications, packaging information and availability information are accurate.

However:

  • Product packaging may change.

  • Product images may differ from the delivered packaging.

  • Product availability may change without notice.

  • Product specifications may be updated by manufacturers or suppliers.

  • Colours, packaging and presentation may differ from website images.

Where legally permitted, Link’a shall not be responsible for minor differences that do not materially affect the product purchased.

Customers should contact Link’a before ordering if a particular specification, packaging format, brand, origin or product characteristic is essential to their purchase.

5. WHOLESALE PRICES

Prices displayed on the B2B website are intended for professional customers.

Unless expressly stated otherwise, prices are displayed in Swiss francs (CHF).

Applicable Swiss VAT will be charged according to the applicable tax rate and the nature of the product or service.

Wholesale prices may vary according to:

  • Product

  • Quantity

  • Packaging format

  • Carton/case quantity

  • Promotional period

  • Customer-specific agreement

  • Availability

  • Supplier pricing

Link’a reserves the right to change prices at any time before an order is accepted.

The price applicable to an accepted order is the price confirmed by Link’a for that order, subject to obvious pricing errors.

6. CARTON, CASE AND BULK QUANTITIES

Certain products may be sold by:

  • Piece

  • Pack

  • Box

  • Carton

  • Case

  • Pallet

  • Other defined wholesale quantity

Where a minimum order quantity or packaging quantity applies, this will be indicated on the product page or communicated to the Customer.

Link’a may refuse or adjust an order where the requested quantity does not correspond to the applicable sales unit.

7. ORDERS

Placing a product in the shopping cart does not constitute acceptance of an order.

An order is considered accepted when Link’a confirms the order by email or through another appropriate order confirmation.

Link’a reserves the right to reject or partially fulfil an order, including where:

  • A product is unavailable

  • There is a stock discrepancy

  • A pricing or technical error occurred

  • The Customer has exceeded an applicable credit limit

  • Payment is overdue

  • The Customer's account has not been approved

  • The order cannot reasonably be fulfilled

If Link’a cannot fulfil an accepted order, the Customer will be informed and any amount already paid for the unavailable item will be handled appropriately.

8. ORDER CONFIRMATION

Following an online order, Link’a will provide an electronic order confirmation.

Customers should check the confirmation carefully and notify Link’a as soon as possible of any error.

Once an order has entered preparation, changes or cancellations may no longer be possible.

9. PAYMENT

Available payment methods may include, depending on the Customer and order:

  • Credit/debit card

  • Online payment

  • Bank transfer

  • Other payment methods offered by Link’a

  • Approved business account / payment terms, where expressly agreed

Link’a may require advance payment for new customers or particular orders.

Where payment terms have been granted, the agreed payment deadline must be respected.

If an invoice is overdue, Link’a may suspend further deliveries and/or ordering access until outstanding amounts have been settled.

Any applicable reminder fees, interest or collection costs may be charged to the extent permitted by Swiss law and the applicable agreement.

10. DELIVERY

Delivery options, delivery charges, delivery areas and estimated delivery times will depend on the Customer's location, order size and the selected delivery method.

Delivery times provided by Link’a are estimates unless a specific delivery date has been expressly guaranteed.

Delays caused by suppliers, transport companies, customs authorities, weather, traffic, technical problems or other circumstances outside Link’a's reasonable control do not automatically constitute a breach of contract.

The Customer must provide accurate delivery information and ensure that the delivery location is reasonably accessible.

11. RECEIPT OF GOODS

The Customer should inspect delivered goods as soon as reasonably possible after receipt.

Visible damage, shortages or incorrect products should be reported to Link’a promptly, preferably with photographs and relevant delivery/order information.

Where appropriate, the delivery document should be marked with the relevant reservation before being signed.

12. RETURNS AND CLAIMS

Because the website is intended for professional B2B purchases, there is no general consumer-style right to return an order simply because the Customer has changed their mind, unless Link’a has expressly agreed otherwise.

Returns may be accepted where:

  • The wrong product was delivered;

  • The product was damaged before or during delivery;

  • The product is defective;

  • The delivered quantity differs materially from the confirmed order; or

  • Link’a has expressly agreed to the return.

The Customer should contact Link’a as soon as possible after discovering a problem.

For food, frozen products, fresh products and other temperature-sensitive goods, the Customer must follow appropriate storage conditions after delivery. Returns may be refused where the condition of the product has been affected by improper storage or handling after delivery.

For approved returns, Link’a will provide appropriate instructions regarding collection or return.

13. FRESH, FROZEN AND PERISHABLE PRODUCTS

Fresh, frozen and other temperature-sensitive products require appropriate handling and storage.

The Customer is responsible for ensuring suitable storage conditions after delivery.

Frozen products must be stored according to the manufacturer's requirements and must not be unnecessarily thawed and refrozen.

Claims relating to temperature-sensitive products should be reported promptly after delivery.

14. PRODUCT AVAILABILITY

Products shown on the website are subject to availability.

Displaying a product on the website does not guarantee that the product will always be in stock.

Where an item becomes unavailable, Link’a may offer an alternative product where appropriate or cancel the unavailable part of the order.

15. PROMOTIONS AND B2B OFFERS

Promotional prices, special offers, carton deals and other B2B promotions are valid only for the period and conditions specified in the relevant offer.

Unless expressly stated otherwise:

  • Promotions cannot be combined.

  • Promotional quantities may be limited.

  • Offers are subject to availability.

  • Link’a may end a promotion when the stated promotional quantity has been exhausted.

Customer-specific prices or agreements take precedence where expressly agreed in writing.

16. MARKETING COMMUNICATIONS

16.1 Service and transactional communications

By creating a B2B account, the Customer agrees that Link’a may use the contact information provided to send communications necessary for the operation of the business relationship, including:

  • Account activation and security messages

  • Order confirmations

  • Invoices and payment information

  • Delivery information

  • Product or order-related notifications

  • Important changes to the account or service

  • Other communications necessary to provide the requested service

These communications are not marketing newsletters.

16.2 Promotional communications

Link’a may offer Customers the opportunity to receive promotional communications, including:

  • B2B newsletters

  • Wholesale promotions

  • Special offers

  • New product announcements

  • Price promotions

  • Seasonal offers

  • Clearance offers

  • Business-related product recommendations

Promotional communications may be sent by email, SMS, telephone and/or WhatsApp, depending on the communication channel selected or consented to by the Customer.

Marketing consent should be provided separately from acceptance of these Terms. Where consent is required, the Customer can withdraw it at any time.

For example, the B2B registration form may include a separate, unticked checkbox:

☐ Yes, I would like to receive Link’a Multi Shop Sàrl B2B promotions, wholesale offers, new product information and special deals by email, SMS, telephone and/or WhatsApp. I understand that I can withdraw my consent at any time.

Withdrawal of marketing consent does not affect the Customer's B2B account or existing orders.

Where applicable, promotional messages will provide an appropriate method for opting out of further marketing communications.

17. WHATSAPP COMMUNICATION

Where the Customer has provided a telephone number and has consented to promotional WhatsApp communication, Link’a may use the provided number to send relevant B2B promotions, offers and business-related marketing communications.

Customers may withdraw their marketing consent or request that promotional WhatsApp communications stop at any time.

Transactional or service-related communications may continue where reasonably necessary to fulfil an order or maintain the Customer's account.

The Customer is responsible for ensuring that the telephone number provided belongs to them or that they are authorised to provide it for the stated purpose.

18. NEWSLETTER

Customers who actively subscribe to the Link’a B2B newsletter may receive information such as:

  • New products

  • Wholesale promotions

  • Special prices

  • Seasonal offers

  • Product availability

  • Business offers

  • Link’a B2B news

Customers may unsubscribe at any time using the unsubscribe mechanism included in the newsletter or by contacting Link’a.

19. PERSONAL DATA AND PRIVACY

Link’a processes personal data in accordance with applicable Swiss data protection law.

Personal information may be processed for purposes including:

  • Creating and managing B2B accounts

  • Processing orders

  • Payment and invoicing

  • Delivery

  • Customer service

  • Fraud and security prevention

  • Managing business relationships

  • Providing requested communications

  • Sending marketing communications where legally permitted and, where required, based on consent

Link’a will provide further information about personal-data processing in its separate Privacy Policy.

The Customer should read the Privacy Policy before creating an account.

20. THIRD-PARTY SERVICE PROVIDERS

Link’a may use third-party service providers necessary to operate the B2B website and business, including providers for:

  • Website hosting

  • E-commerce

  • Payment processing

  • Delivery and logistics

  • Accounting

  • Email communication

  • Customer relationship management

  • Marketing communication

  • WhatsApp or other communication services

Such services may process relevant Customer information as necessary to provide their services and in accordance with applicable data protection requirements.

21. WEBSITE USE

The Customer agrees not to:

  • Use the website for unlawful purposes;

  • Attempt to gain unauthorised access to the website or another customer's account;

  • Introduce malware or other harmful code;

  • Interfere with the operation of the website;

  • Use automated systems to extract website content without permission;

  • Provide false or misleading registration information;

  • Use another person's account without authorisation.

Link’a may restrict or suspend access where there are reasonable grounds to believe that the website is being misused.

22. INTELLECTUAL PROPERTY

The Link’a name, logo, graphics, photographs, website content, text, product presentation and other materials displayed on the website are protected by applicable intellectual property rights.

Unless expressly authorised, Customers may not reproduce, modify, distribute or commercially exploit Link’a website content or branding.

23. WEBSITE AVAILABILITY

Link’a aims to maintain a reliable website but does not guarantee uninterrupted availability.

The website may occasionally be unavailable because of:

  • Maintenance

  • Updates

  • Technical problems

  • Hosting or network issues

  • Cybersecurity incidents

  • Circumstances outside Link’a's reasonable control

24. LIMITATION OF LIABILITY

To the extent permitted by mandatory Swiss law, Link’a shall not be liable for indirect or consequential losses arising from the use of the website or the purchase of products, including loss of business, loss of profit or loss of anticipated savings.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable Swiss law.

25. FORCE MAJEURE

Link’a shall not be responsible for failure or delay caused by circumstances outside its reasonable control, including but not limited to:

  • Natural disasters

  • Fire

  • Severe weather

  • Transport disruption

  • Strikes

  • War or civil disturbance

  • Government measures

  • Customs restrictions

  • Supplier failures

  • Major technical failures

  • Cybersecurity incidents

  • Power or telecommunications failures

26. SUSPENSION OR TERMINATION OF B2B ACCOUNTS

Link’a may suspend or terminate a B2B account where:

  • The Customer provides materially false information;

  • The account is used unlawfully;

  • Invoices remain unpaid;

  • The Customer materially breaches these Terms;

  • There is suspected fraud or misuse;

  • The account is no longer used for legitimate professional purposes.

Termination does not affect payment obligations or other rights and obligations that arose before termination.

27. CHANGES TO THESE TERMS

Link’a may update these Terms when necessary, including where its services, business practices or applicable legal requirements change.

The current version published on the website will apply to future use and orders, subject to applicable law and any mandatory requirements concerning contractual amendments.

28. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect to the extent permitted by law.

29. GOVERNING LAW

These Terms are governed by Swiss law, subject to mandatory provisions of applicable law.

30. PLACE OF JURISDICTION

To the extent permitted by applicable Swiss law, the courts having jurisdiction at the registered office of Link’a Multi Shop Sàrl in Martigny, Valais, Switzerland shall have jurisdiction over disputes arising from or relating to these Terms.

Mandatory jurisdiction provisions remain unaffected.
